Terms of Use

1. Acceptance of Terms
These Terms of Use ("Terms") constitute a legally binding agreement between you ("you" or "User") and crosswind ("we," "us," or "our") governing your access to and use of our website, platform, APIs, AI agent, and all related services (collectively, the "Service").
By creating an account, accessing, or using the Service, you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree, you must not use the Service.
If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and "you" refers to both you individually and that organization.
2. Eligibility
You must be at least 16 years of age (or 13 in the United States) to use the Service. By using the Service, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.
3. Description of the Service
crosswind is a SaaS management platform that enables organizations to orchestrate their software ecosystem, optimize costs, ensure compliance, and manage licenses in a unified interface. Key capabilities include:
- Connecting and managing supported third-party SaaS integrations, currently including Google Workspace, Slack, Microsoft 365, Postman, GitHub, Atlassian, Zoom, Figma, and DocuSign. Some provider entries displayed in the product catalog may be informational only and not connectable in the current build.
- Normalizing and displaying user, group, and resource data from connected services.
- An AI-powered agent ("Agent1") that converts natural-language prompts into executable actions across your connected services.
- Multi-tenant organization management with role-based access control.
- Pricing, billing-foundation, and cost-optimization surfaces, some of which are still being rolled out.
- Administrative audit logging and approval workflows for sensitive actions.
4. Accounts & Registration
To use the Service, you must create an account or accept an invitation to an organization workspace. Authentication may be provided through email/password or supported OAuth sign-in methods. You agree to:
- Keep your account credentials confidential and not share them with any third party.
- Promptly update your information if it changes.
- Accept responsibility for all activity that occurs under your account.
- Notify us immediately at support@crosswind.app if you suspect unauthorized access to your account.
Administrators may also require password changes, suspend accounts, or revoke workspace access in accordance with their organization's permissions and these Terms. We reserve the right to suspend or terminate accounts that violate these Terms, contain inaccurate information, or remain inactive for an extended period.
5. Organizations & Roles
The Service operates on a multi-tenant model. Users belong to an organization, and each user is assigned a role (for example, admin, system admin, org admin, or user) that determines their permissions. Organization administrators are responsible for:
- Managing user access, invitations, and role assignments within their organization.
- Authorizing third-party integrations and the credentials used to connect them.
- Reviewing and approving or rejecting actions proposed by the AI agent that require authorization.
- Managing organization settings and access to organization-scoped logs, approvals, and operational records.
- Ensuring their organization's use of the Service complies with these Terms and applicable law.
6. Third-Party Integrations
The Service allows you to connect third-party SaaS applications using credentials such as OAuth tokens, SCIM/API keys, service-account JSON, or app credentials that you provide or authorize. By connecting an integration, you:
- Authorize crosswind to access the third-party service's APIs on your behalf, within the scopes you grant.
- Represent that you have the authority to grant such access and that doing so does not violate the third party's terms of service.
- Acknowledge that crosswind is not responsible for the availability, accuracy, or security of third-party services.
- Acknowledge that data retrieved from third-party services is governed by those services' own terms and privacy policies.
You may disconnect any integration at any time. Upon disconnection, we will delete the stored integration record and credential for that connection, although related operational or audit logs may remain as described in our Privacy Policy.
7. AI Agent Usage
The Service includes an AI-powered agent that interprets natural-language prompts and generates action plans executed against your connected services. By using the AI agent, you acknowledge and agree:
- Prompts may be processed by third-party AI providers. When a workflow uses a model-backed path, relevant prompts and context are sent to OpenAI's API for processing. Some requests may instead be resolved through deterministic or no-model logic inside crosswind. OpenAI's use of this data is subject to OpenAI's Terms of Use.
- AI outputs are not guaranteed. The AI agent generates plans based on probabilistic models. Outputs may be inaccurate, incomplete, or unsuitable for your specific use case. You are responsible for reviewing results and for approving actions when the Service asks you to approve them.
- Approval behavior depends on action type and settings. Read-only or lower-risk actions may execute without separate manual approval, while high-impact or irreversible actions (for example, deleting users or revoking access) may require explicit administrator approval before execution.
- You remain responsible. crosswind is not liable for any consequences arising from actions executed by the AI agent that you or your organization's administrators authorized.
You agree not to submit prompts that contain illegal content, violate third-party rights, or attempt to manipulate the AI agent into performing unauthorized actions.
8. Acceptable Use Policy
You agree not to use the Service to:
- Violate any applicable local, state, national, or international law or regulation.
- Infringe upon the intellectual property, privacy, or other rights of any third party.
- Transmit malware, viruses, or any other harmful code.
- Attempt to gain unauthorized access to the Service, other users' accounts, or connected third-party systems.
- Reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service.
- Use the Service for competitive analysis, benchmarking, or building a competing product.
- Circumvent rate limits, security measures, or access controls.
- Use automated scripts, bots, or scrapers to access the Service, except through our published APIs.
- Interfere with or disrupt the integrity or performance of the Service.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
- Use the AI agent to generate content that is illegal, harmful, abusive, defamatory, or otherwise objectionable.
Violation of this policy may result in immediate suspension or termination of your account.
9. Intellectual Property
9.1 Our Intellectual Property
The Service, including its design, code, features, documentation, trademarks, logos, and all related intellectual property, is owned by crosswind or its licensors and is protected by copyright, trademark, and other intellectual property laws. These Terms do not grant you any ownership rights in the Service.
9.2 Your Content
You retain ownership of all data, content, and information you submit to the Service ("Your Content"). By using the Service, you grant us a limited, non-exclusive, worldwide license to use, process, and store Your Content solely to the extent necessary to provide and improve the Service. This license terminates when you delete Your Content or close your account.
9.3 Feedback
If you provide suggestions, ideas, or feedback about the Service ("Feedback"), you grant us an unrestricted, irrevocable, perpetual, royalty-free license to use and incorporate such Feedback without obligation to you.
10. Pricing, Billing & Future Paid Features
crosswind currently displays pricing information and includes internal billing foundations, but the current build does not yet provide a self-serve checkout, live invoice-sync integration, or a generally available in-app payment processor flow.
If you purchase paid services from us through an order form, invoice, or a future activated billing flow, the commercial terms presented at that time, including fees, billing cycle, taxes, and payment method terms, will apply in addition to these Terms.
Published pricing and packaging may change over time. Until a paid plan is activated through a binding commercial flow, displayed pricing is informational and does not by itself create a subscription commitment.
11. Service Availability & Modifications
We strive to maintain high availability but do not guarantee uninterrupted or error-free access. We may, at our sole discretion:
- Modify, update, or discontinue any feature of the Service with or without notice.
- Perform scheduled or emergency maintenance that may temporarily affect availability.
- Limit certain features or restrict access to parts of the Service.
We will make reasonable efforts to provide advance notice of material changes that may affect your use of the Service.
12. Disclaimers
To the maximum extent permitted by applicable law:
- The Service is provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express, implied, or statutory, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, and accuracy.
- We do not warrant that the Service will be uninterrupted, secure, or error-free, or that defects will be corrected.
- We do not warrant the accuracy, reliability, or completeness of any AI-generated output, action plan, or recommendation produced by the AI agent.
- We are not responsible for any data loss, corruption, or unauthorized access resulting from your use of third-party integrations.
Some jurisdictions (including the EU, UK, and Israel) do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply only to the extent permitted by law.
13. Limitation of Liability
To the maximum extent permitted by applicable law:
- In no event shall crosswind, its officers, directors, employees, agents, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, use, or goodwill, arising out of or in connection with your use of (or inability to use) the Service.
- Our total aggregate liability for all claims arising from or related to the Service shall not exceed the greater of (a) the amount you paid to crosswind in the 12 months preceding the event giving rise to the claim, or (b) USD $100.
- These limitations apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.
Some jurisdictions do not allow the limitation or exclusion of liability for certain damages. In such jurisdictions, our liability is limited to the fullest extent permitted by law. Nothing in these Terms excludes liability for fraud, gross negligence, willful misconduct, death, or personal injury caused by our negligence.
14. Indemnification
You agree to indemnify, defend, and hold harmless crosswind and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of the Service in violation of these Terms.
- Your violation of any applicable law or third-party rights.
- Actions executed by the AI agent that you or your administrators authorized.
- Content or data you submit to the Service.
- Your connection of third-party services or misuse of integration credentials.
15. Termination
You may stop using the Service and close your account at any time by contacting us at support@crosswind.app.
We may suspend or terminate your access to the Service immediately, without prior notice, if:
- You breach any provision of these Terms.
- We are required to do so by law.
- We discontinue the Service or any material part of it.
- Your account has been inactive for an extended period.
Upon termination, your right to use the Service ceases immediately. We will delete your data in accordance with our Privacy Policy, except where retention is required by law.
Sections that by their nature should survive termination (including Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law) shall survive.
16. Governing Law & Dispute Resolution
16.1 General
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict-of-law principles. The competent courts located in Tel Aviv-Jaffa, Israel, shall have exclusive jurisdiction over any dispute arising from or relating to these Terms, subject to the exceptions below.
16.2 European Union & United Kingdom Users
If you are a consumer residing in the EU or UK, nothing in these Terms deprives you of the protection afforded by the mandatory provisions of the law of your country of residence. You may bring proceedings in the courts of your country of residence. EU consumers may also use the EU Online Dispute Resolution platform.
16.3 United States Users
If you are a resident of the United States, any dispute not resolved informally within 30 days may be submitted to binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The arbitration shall take place in a mutually agreed location or remotely. Each party shall bear its own arbitration costs unless the arbitrator determines otherwise.
Class Action Waiver: To the fullest extent permitted by law, you agree that any dispute resolution proceedings will be conducted on an individual basis, not as a class, consolidated, or representative action.
17. General Provisions
- Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and crosswind regarding the Service and supersede all prior agreements and understandings.
- Severability. If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
- Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.
- Assignment. You may not assign or transfer these Terms without our prior written consent. We may assign these Terms freely in connection with a merger, acquisition, or sale of assets.
- Force Majeure. We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, government actions, or internet/infrastructure failures.
- Notices. We may send notices to the email address associated with your account. You may send notices to legal@crosswind.app.
18. Changes to These Terms
We may update these Terms from time to time. When we make material changes, we will post the updated Terms with a revised "Last updated" date and, where appropriate, notify you via email or a prominent notice within the Service. Your continued use of the Service after such changes constitutes your acceptance of the updated Terms. If you do not agree with any changes, you must stop using the Service.
